Join Kevin Hunter and Jeffrey O'Brien as they discuss boilerplate terms including "Choice of Law" and "Modification of Agreement."
A "choice of law" or "governing law" provision in a contract allows the parties to agree that a particular state's laws will be used to interpret the agreement, even if they live in (or the agreement is signed in) a different state. For example, many big coorporations choose Delaware law in their contracts' choice of law provisions, because that state's laws often favor corporations and offer some predictability when it comes to disputes. Read on to learn more about choice of law provisions in contracts.
The "modification of agreement" clause in a contract states that the agreement may only be modified in writing. As important as it is to have your contract in writing, it is equally important to require any modifications — additions, deletions, or changes in wording — to be in writing. You don't want a conversation or telephone call that you had with the other side to modify your written contract.
Join Hosts Kevin Hunter and Jeffrey O'Brien as they discuss Contract Law Integration, and specifically, boilerplates.
It has been said that every contract is made of two parts: the boilerplate and the important stuff i. For many lawyers, boilerplate has become the drafting equivalent of wallpaper -it looks nice, is always around, but after a while you don’t notice it any more. Black’s Law Dictionary defines “boilerplate” as:
"Language which is used commonly in documents having a definite meaning in the same context without variation; used to describe standard language in a legal document that is identical in instruments of a like nature."

Join Kevin Hunter and Jeffrey O'Brien as they discuss the special rules of contracts.
Contract law is the area of law which deals with promises people make to one another, and when those promises are enforceable. Essentially, contract law allows parties to an agreement to make law between themselves, which the courts will then enforce, so long as certain rules are followed and requirements met.

The Uniform Commercial Code (UCC or the Code), first published in 1952, is one of a number of uniform acts that have been promulgated in conjunction with efforts to harmonize the law of sales and other commercial transactions in all 50 states within the United States of America.
